Welcome to the website (the “Site”) of Soul Theory, L.L.C. (“Soul Theory, L.L.C.,” “Soul Theory,” “we,” “us,” or “our”). We have prepared this Privacy Policy to describe to you our practices regarding the Personal Data (as defined below) we collect, use, and share in connection with the Soul Theory website as well as other apps and software provided on or in connection with our services, as described in our Terms of Service (collectively, the “Service”).

Before using the Service or submitting any Personal Data to Soul Theory, please review this Privacy Policy carefully and contact us if you have any questions. By using the Service, you agree to the practices described in this Privacy Policy. If you do not agree to this Privacy Policy, you may not access the Site or otherwise use the Service. This Privacy Policy is incorporated into and forms part of our Terms of Use. Capitalized terms not defined in this Privacy Policy have the meanings set forth in the Terms of Use.

1. Types of Data We Collect

“Personal Data” means data that alone or in combination with other information in our possession could be used to identify you, including, for example, your name, email address, phone number, physical address, digital wallet address, as well as any other non-public information about you that is associated with or linked to any of the foregoing. “Anonymous Data” means data, including aggregated and de-identified data, that is not associated with or linked to your Personal Data; Anonymous Data does not, by itself, permit the identification of individual persons. We collect Personal Data and Anonymous Data, as described below.

a. Information You Provide to Us

  • When you use our Service, update your account profile, provide feedback, or contact us, we may collect information from you, such as your name, company name, professional title, email address, phone number, user name, billing address, shipping address, digital wallet address, date of birth, signature and any other information you provide.

  • We gather the messages you send to us via contact, sign-up, surveys, and purchase forms when you use our Service. These may include customer service inquiries, messages intended for delivery recipients, and delivery instructions. We utilize this data to address and meet your requests, as well as to enhance our Service and product offerings.

  • Content you choose to upload to our Service, such as digital visual files, digital audio files, and/or code along with the metadata associated with the files you provide.

  • Marketing information, such as your preferences for receiving communications about our activities, events, and publications, and details about how you engage with our communications.

  • We maintain a social media presence on platforms like Instagram, Twitter, and Discord (“Social Media Pages”). When you interact with us on social media, we may receive personal information that you provide or make available to us based on your settings, such as your profile information. We also collect any social media profile information you directly provide us. In addition, the companies that host our Social Media Pages may provide us with aggregate information and analytics regarding the use of our Social Media Pages.

  • We may also collect information and other data where you voluntarily provide it, which is not specifically listed here, but which we will use in accordance with this Privacy Policy or as otherwise disclosed at the time of collection.

b. Information Collected Automatically

As you navigate through and interact with our Service, we may use automatic data collection technologies to collect and log certain information about your equipment, browsing actions, and patterns, including:

  • Usage Information. Information about how you use our Service including, but not limited to, your browser type, your Internet Service Provider (“ISP”) and associated geolocation, traffic data, clickstream data, and other communication data. We may also store this data in log files. This information helps us to analyze trends, administer and improve the Service, and to tailor a better and more personalized experience according to the user.

  • Cookies. For example, third-party companies may provide us with your blockchain address and other information you choose to provide to those third-party providers. We may combine the information we collect from third parties with information that we have previously collected from you or through your use of the Service.

d. Personal Information We Collect from Publicly Available Sources

We may collect data about you that is publicly available from blockchain networks and we may combine such data with other information that we have previously collected from you or through your use of the Service.

2. Use of Your Information

a. We process your information to provide the Service, operate the Service, improve the Service, and personalize your experience on the Service. Specifically, we may use your information for the following purposes, or as otherwise described at the time of collection, to:

  • provide, operate, improve, and secure the Service;

  • facilitate the creation of and secure your account on the Service;

  • identify you as a user in our system;

  • provide improved administration of our Service;

  • improve the quality of experience when you interact with our Service;

  • create and derive insights from de-identified and aggregated information;

  • provide user support and respond to your requests, inquiries, and feedback;

  • investigate and address conduct that may violate our Terms of Service and/or any internal policies;

  • identify, prevent, and address fraud, violations of our terms or policies, security issues, technical issues, and/or other harmful, unauthorized, unethical, or unlawful activity;

  • send you a welcome email to verify ownership of the email address provided when your account was created;

  • send you administrative notifications, such as security, support and maintenance advisories; and

  • send you newsletters, surveys, offers, events, promotional materials, and other notices related to our Services or third parties' goods and services;

b. We may create Anonymous Data records from Personal Data. We use this Anonymous Data to analyze request and usage patterns so that we may improve our Services and enhance Service navigation. We reserve the right to use Anonymous Data for any purpose and to disclose Anonymous Data to third parties in our sole discretion.

3. Disclosure of Your Information

We disclose your information as described below and as described elsewhere in this Privacy Policy.

a. Third Party Service Providers. We may share your information with third party service providers to: provide technical infrastructure services; conduct quality assurance testing; analyze how our Service is used; identify, prevent, and address unauthorized activities; provide technical and customer support; and/or to provide other support to the Service. We may also access, safeguard, and disclose information if we deem it essential to safeguard and uphold our rights or property, or those of others, solely in our judgment.

b. Affiliates. We may share some or all of your information with our subsidiaries, joint ventures, or other companies under our common control (“Affiliates”), in which case we will require our Affiliates to honor this Privacy Policy.

c. Corporate Restructuring. We may share some or all of your information in connection with or during negotiation of any merger, financing, acquisition, or dissolution transaction or proceeding involving sale, transfer, divestiture, or disclosure of all or a portion of our business or assets. In the event of an insolvency, bankruptcy, or receivership, your information and information about you may also be transferred as a business asset. If another company acquires our company, business, or assets, that company will possess the information collected by us and will assume the rights and obligations regarding your information as described in this Privacy Policy.

Regardless of any choices you make regarding your information (as described below), Soul Theory may disclose your information if it believes in good faith that such disclosure is necessary: (a) in connection with any legal investigation; (b) to comply with relevant laws or to respond to subpoenas, warrants, or other legal process served on Soul Theory; (c) to protect or defend the rights or property of Soul Theory or users of the Service; and/or (d) to investigate or assist in preventing any violation or potential violation of the law, this Privacy Policy, or our Terms of Service.

e. Other Disclosures. We may also disclose your information: to fulfill the purpose for which you provide us with your information; for any other purpose disclosed to you at the time you provide us with your information; or with your consent.

4. Third-Party Websites

Our Site may contain links to third party websites. When you click on a link to any other website or location, you will leave our Service and go to another site and another entity may collect information from you. We have no control over, do not review, and cannot be responsible for these third-party websites or their content. Please be aware that the terms of this Privacy Policy do not apply to these third-party websites or content, or to any collection of your information after you click on links to such third-party websites. We encourage you to read the policies of every website you visit. The links to third party websites or locations are for your convenience and do not signify our endorsement of such third parties or their products, content or websites.

5. Third-Party Wallets

To use our Service, a third-party wallet may be required in order to engage in transactions on public blockchains. Such transactions associated with any third-party wallet provider are governed by the applicable terms of service and privacy policy of that third party.

6. Your Choices Regarding Information

You have several choices regarding the use of information on our Services:

a. Email Notifications. We may periodically send you newsletters and/or emails that directly promote the use of our Service or third parties’ goods and/or services. When you receive newsletters or promotional communications from us, you may indicate a preference to stop receiving further communications from us and you will have the opportunity to “opt-out” by following the unsubscribe instructions provided in the email you receive. Despite your indicated email preferences, we may send you service-related communications, including notices of any updates to our Terms of Use or Privacy Policy.

b. Cookies. If you decide at any time that you no longer wish to accept Cookies from our Service for any of the purposes described above, then you can instruct your browser, by changing its settings, to stop accepting Cookies or to prompt you before accepting a Cookie from the websites you visit. Consult your browser’s technical information. If you do not accept Cookies, however, you may not be able to use all portions of the Service or all functionality of the Service.

7. Data Retention

We generally retain your information as long as reasonably necessary to provide you the Service, improve the Service, to comply with applicable law, or to fulfill the purposes outlined in our Terms of Service, Privacy Policy, and/or other agreements. Even after you request deletion of your data and/or deactivate your account, we may retain copies of information about you and any transactions or Services in which you may have participated for a period of time that is consistent with applicable law, applicable statute of limitations or as we believe is reasonably necessary to comply with applicable law, regulation, legal process, or governmental request, to detect or prevent fraud and abuse, to collect fees owed, to resolve disputes, to address problems with our Services, to assist with investigations, to enforce our or other applicable agreements or policies, or to take any other actions consistent with applicable law. Where your information is no longer required for these purposes stated in the Privacy Policy and/or our Terms of Service, we will delete your information.

8. Security

We care about the security of your information and uses commercially reasonable physical, administrative, and technological safeguards to preserve the integrity and security of information collected through our Service.  However, no security system is impenetrable, and we cannot guarantee the security of our systems.  In the event that any information under our custody and control is compromised as a result of a breach of security, we will take reasonable steps to investigate the situation and, where appropriate, notify those individuals whose information may have been compromised and take other steps, in accordance with any applicable laws and regulations.

a. Digital wallets are not operated by, maintained by, or affiliated with Soul Theory, and Soul Theory does not have any authority over your wallet nor the ability to retrieve or transfer its contents. It is your full responsibility to keep your wallet secure and to take the necessary steps to ensure it remains secure. If you have an issue related to your wallet, please contact your wallet provider.

9. Minors

We do not intentionally gather Personal Data from visitors who are under the age of 13. As stated in our Terms of Service, we require all users to be at least 18 years old. Minors who are at least 13 years old but under 18 years old, may only use the Service following the approval and supervision of a parent or guardian. If a child under 13 submits Personal Data to Soul Theory and we learn that the Personal Data is the information of a child under 13, we will attempt to delete the information as soon as possible. 10. Users Outside of the United States

If you are a non-U.S. user of the Service, by visiting the Service and providing us with data, you acknowledge and agree that your Personal Data may be processed for the purposes identified in the Privacy Policy. In addition, your Personal Data may be processed in the country in which it was collected and in other countries, including the United States, where laws regarding processing of Personal Data may be less stringent than the laws in your country. By providing your Personal Data, you consent to such transfer.

11. Changes to This Privacy Policy

This Privacy Policy may be updated from time to time for any reason. We will notify you of any changes to our Privacy Policy by posting the new Privacy Policy at https://soultheory.world/privacy-policy. The date the Privacy Policy was last revised is identified at the beginning of this Privacy Policy. You are responsible for periodically visiting our Service and this Privacy Policy to check for any changes. By continuing to use our Service or providing us with personal information after we have posted an updated Privacy Policy, or notified you by other means if applicable, you consent to the revised Privacy Policy and the practices described in it.
